Biography

Munir Abdul Aziz is a partner in the Corporate, Commercial & Securities Practice Group of Wong & Partners and has been in practice since 1998 in the areas of mergers and acquisitions, corporate reorganisations, equity capital markets work, venture capital and private equity, joint ventures and general commercial transactions.

Munir is recognised as a Leading Individual by Legal 500 Asia Pacific for Corporate and M&A (since 2017) and Capital Markets (since 2018). Munir is ranked in Chambers Asia Pacific for Corporate/M&A (since 2011). Munir was named Managing Partner of the Year in 2021 and Dealmaker of the Year in 2017 and 2020 at the Asian Legal Business Malaysia Law Awards.

Munir has worked in the London and Melbourne offices of Baker & McKenzie International.

Practice Focus

Munir has represented a number of multinational corporations in connection with takeovers, acquisitions, divestments of shares and assets, and joint ventures. He has also worked on corporate reorganisations and de-mergers involving leading publicly listed Malaysian companies. Munir has also been involved in domestic and international securities transactions including bond offerings and initial public offerings.

Representative Legal Matters

  • Advised IHH Healthcare Berhad (IHH) on (i) the disposal of the entire issued ordinary share capital of IMU Health Sdn Bhd by IHH to Inbound Education Holdings Sdn Bhd, a consortium between TPG, Hong Leong and EPF; (ii) the restructuring of IMU Education Sdn Bhd to transfer of a hospital to IMU Omega Sdn Bhd (IMU Omega); and (iii) the disposal of the entire issued share capital of IMU Omega to Columbia Asia Sdn Bhd.

  • Advised PETRONAS Chemicals Group Berhad (PCG) on its EUR 2.3 billion acquisition of Perstorp Holding AB. We provided PCG with support for the transaction across all key areas including due diligence in multiple jurisdictions, transaction documentation and negotiation, and holistic legal and regulatory advice. A total of 155 lawyers in 25 Baker McKenzie offices across four continents had worked on the matter.

  • Advised Permodalan Nasional Berhad (PNB) in connection with the sale of PNB and AmanahRaya Trustees Berhad’s (as trustee for the unit trust funds which hold shares in UMW Holdings Berhad (UMW)) equity interest of approximately 61.18% in UMW to Sime Darby Enterprise Sdn Bhd (as purchaser) and Sime Darby Holdings Berhad (as warrantor) for a total cash consideration of MYR 3.574 billion.

  • Advised Pathology Asia Holdings Pte. Ltd., one of the largest independent clinical diagnostic service providers in Southeast Asia and a portfolio company of leading global private equity group TPG, in connection with the acquisition of a molecular screening and diagnostics services provider in Malaysia.

  • Acted for Telekom Malaysia Berhad (TM) in connection with its internal reorganisation which involved the transfer of the telecommunication businesses of TM and its selected wholly owned subsidiaries to TM Technology Services Sdn Bhd. This internal reorganisation was significant for our client as it marks the next phase of transformation for TM group to be the enabler of a digital Malaysia, to further improve the operational efficiencies of the group, to streamline processes and to simplify customer touchpoints to provide a more seamless customer experience.

  • Advised Shell Overseas Holdings Limited (Shell) on its USD 66.3 million (MYR 275 million) sale of its 51% interest in Shell Refining Company (Federation of Malaya) Berhad (SRC) to Malaysia Hengyuan International Limited, a Labuan incorporated subsidiary of Shandong Hengyuan Petrochemical Company Limited (Shandong Hengyuan). The sale marks the first overseas refinery acquisition by Shandong Hengyuan and the completion triggered a mandatory takeover offer for the remaining shares of SRC held by shareholders other than Shell.
